Cooperative Member Terms and Conditions

KOPKAD DIGITAL SYSTEMS

Effective: March 2026  ·  Version 1.0

Important Notice: By completing your registration as a member of a cooperative operating on the Kopkad platform, you are joining that cooperative — not KOPKAD DIGITAL SYSTEMS or Sustainable Wealth Multipurpose Cooperative Society Limited. Your membership rights and obligations are governed by your cooperative's own constitution, bye-laws, and applicable law. Kopkad is the technology provider only.

1. Nature of Membership

You are registering as a member of a cooperative society that uses the Kopkad digital platform to manage its operations. Your membership is exclusively with that cooperative. KOPKAD DIGITAL SYSTEMS is not a party to your membership and confers no membership, financial entitlement, or ownership interest in any entity other than the cooperative you are joining.

2. Platform Use

2.1 Kopkad provides technology services to the cooperative operator. Your access to the platform is granted through, and at the discretion of, the cooperative operator.

2.2 Kopkad does not manage, control, or guarantee any financial activities of the cooperative, including savings, loans, contributions, withdrawals, or disbursements. These are the sole responsibility of the cooperative operator.

3. Financial Disclaimer

3.1 Kopkad's Role. Kopkad is a technology facilitator only. Kopkad does not hold, manage, pool, or take custody of any member funds at any time. All financial transactions are processed directly between you and the cooperative through the payment accounts registered and controlled exclusively by the cooperative operator.

3.2 No Financial Liability. KOPKAD DIGITAL SYSTEMS shall not be held liable for any financial loss, misappropriation, fraud, default, non-payment, or dispute arising from your membership in the cooperative or from the cooperative's management of member funds. Any such claims are exclusively between you and the cooperative.

3.3 Member-Operator Relationship. Your financial relationship — including savings contributions, loan obligations, withdrawal rights, and any other financial entitlements — is governed exclusively by your cooperative's constitution, bye-laws, and any agreements between you and the cooperative operator. Kopkad is not a party to any such arrangement and cannot be held responsible for the cooperative's compliance with or enforcement of those arrangements.

3.4 Dispute Resolution. Any financial dispute between you and the cooperative must be resolved directly with the cooperative operator or through the appropriate legal channels in accordance with Nigerian cooperative law. Kopkad does not adjudicate member-cooperative disputes and cannot intervene in such matters.

3.5 Fund Custody Model. Your cooperative operates in one of two modes, disclosed to you by the cooperative:

  • Platform-managed — member deposits settle to a pooled account controlled by Kopkad on the cooperative's behalf, and your balance is an entry in the cooperative's ledger on the platform.
  • Self-managed — member deposits settle directly to the cooperative's own bank account, and the cooperative manages any investment of those funds itself.

3.6 Deposit and Withdrawal Charges. Kopkad does not charge cooperative members a deposit fee. A self-managed cooperative bears its own payment-processor cost on member deposits and may pass that cost to the depositing member; where it does, the amount is disclosed on the transaction record and (depending on the cooperative's setting) either shown at deposit time or recovered pro-rata when you withdraw. Any withdrawal or service charge set by your cooperative is disclosed before you confirm the transaction. Savings interest, where your cooperative offers it, is credited at the rate your cooperative sets and net of applicable withholding tax.

4. Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including your PIN. You must not share your credentials with any person. Kopkad will never request your PIN by phone, email, or message. Report any suspected unauthorized access immediately to the cooperative operator.

5. Data Protection

Personal data you submit during registration is processed by Kopkad in accordance with the Nigeria Data Protection Act 2023 and the NDPR 2019, solely for the purpose of providing platform services to the cooperative. Kopkad does not sell your personal data to third parties for commercial purposes.

6. Limitation of Liability

6.1 The platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by Nigerian law, Kopkad disclaims all warranties, express or implied, regarding the platform's suitability for your purposes.

6.2 Kopkad shall not be liable for any indirect, incidental, or consequential loss arising from your use of the platform or from the cooperative's management of your funds, including losses due to system downtime, third-party processor failures, cyberattacks, or force majeure events.

6.3 Kopkad's total aggregate liability to you for any direct loss caused solely by the platform shall not exceed the amount, if any, paid directly to Kopkad by you (not by the cooperative) in connection with your use of the platform.

7. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, including the Nigeria Data Protection Act 2023 and all applicable federal and state legislation. Disputes arising from these Terms shall be submitted to Kopkad's support team for internal resolution. If unresolved within 30 days, disputes shall be referred to arbitration under the Arbitration and Conciliation Act (Cap. A18, LFN 2004).

8. Amendments

Kopkad reserves the right to update these Terms at any time. Material changes will be communicated through the platform. Continued use of the platform following notification constitutes acceptance of the revised Terms.
